This ongoing digital transformation offers significant opportunities for economic growth, innovation, and improved service delivery, while simultaneously giving rise to complex legal, regulatory, and security challenges. In this context, the development, modernization, and effective implementation of e-transactions legislation have become a critical priority for governments worldwide to ensure legal certainty, trust, and security in digital environments. Across the Arab region, several countries have made notable progress in establishing legal frameworks governing e-transactions, trust services, data protection, cybersecurity, and related areas. Nevertheless, the continuous emergence of new digital applications such as cloud computing, mobile platforms, digital identity systems, and artificial intelligence (AI) has requested countries to continuously upgrade those laws to align with the best international practices and the evolving requirements of the digital age. At the global level, the UN continues to promote the responsible, inclusive, and trustworthy use of emerging technologies in support of sustainable development. In September 2024, during the Summit of the Future, world leaders adopted the Pact for the Future, together with its annexes the Global Digital Compact (GDC) and the Declaration on Future Generations. The GDC underscores the importance of digital trust, secure and interoperable digital systems, and effective digital governance. These objectives depend fundamentally on robust e-transactions legislation that provides legal recognition to e-communications, signatures, trust services, and contracts mechanisms, thereby enabling safe participation in the digital economy. The UN ESCWA has a long-standing engagement in supporting its member States in the field of cyber legislation. In 2007, UN ESCWA published the study Models for Cyber Legislation in UN ESCWA Member Countries , which reviewed regional and international legal developments and introduced practical templates for assessing and reforming national cyber laws. The objective of those templates is to support Arab countries in drafting and harmonizing national cyber laws. Through its technical cooperation program, UN ESCWA remains committed to assisting member States in strengthening legal and institutional capacities related to the digital and emerging technologies. Recently, the Ministry of Telecom and Information Tech (MTIT) in Yemen requested UN ESCWA s advisory services to develop e-transactions and trust services law aligned with international standards and regional best practices. In response, UN ESCWA is engaging a qualified legal consultant to provide specialized expertise in the area of e-transactions and trust services, with a particular focus on the Yemeni legal and institutional context. The consultant shall use as primary reference frameworks the ESCWA Cyber legislation directives, UNCITRAL Model Law on Electronic Commerce (1996), the UNCITRAL Model Law on Electronic Signatures (2001), and the UNCITRAL Model Law on Electronic Transferable Records (2017), supplementing these with the EU eIDAS Regulation and relevant Arab country implementations. For the purposes of this consultancy, 'trust services' include: qualified electronic signatures and seals, electronic timestamps, electronic registered delivery services, website authentication certificates, and preservation services for electronic signatures, consistent with the eIDAS framework or its functional equivalent. This consultancy is part of a coordinated package of three inter-related legal instruments being developed simultaneously for Yemen: Access to Information Law, Personal Data Protection Law, and an e-Transactions and Trust Services Law. The consultant shall be aware of this broader legislative package and shall flag, in the drafting notes annex, any provisions in the assigned law that intersect with or depend upon the other instruments, to ensure coherence across the three laws. The provision of this advisory service, including the scope of work and expected outputs, is outlined in these Terms of Reference III. DUTIES AND RESPONSIBILITIES The consultant shall propose to the designated ESCWA focal point a detailed version of the report on e-transaction law. To produce the draft report, the consultant is requested to conduct, among others, the main following tasks: 1. Benchmarking and Best Practices Review current national laws related to digital and emerging technologies in Yemen; Review best regional and international practices in e-Transaction and trust services law (at least 2 selected regional and 2 international cases) and justification for case selection provided in the report; 2. The consultant shall draw on established international frameworks including the EU General Data Protection Regulation (GDPR), the OECD Guidelines on the Protection of Privacy and Transborder Flows of Personal Data (2013 revision), the Council of Europe Convention 108+, and the Arab League's draft model data protection law, selecting and adapting provisions appropriate to Yemen's legal, institutional, and developmental context. <p>Organizational Setting FAO's office for Yemen is responsible for developing, promoting, overseeing and implementing agreed strategies for addressing countrywide food, agriculture and rural development priorities under Yemen. It develops and maintains relations with the relevant Ministries at country level. The main aim of the FAO country offices, which are headed by an FAO Representative, is to assist governments to develop policies, programmes and projects to achieve food security and to reduce hunger and malnutrition, to help develop the agricultural, fisheries and forestry sectors and to use their environmental and natural resources in a sustainable manner. Reporting Lines The Project Technical Specialist will work under the overall supervision of the FAO Representative (FAOR) in Yemen and the technical direction of the GEF project technical advisor. Technical Focus The Project Technical Specialist will be hired to support FAO Yemen in implementing the GEF7 project, currently under implementation. Tasks and responsibilities Conduct a comprehensive review of proposed project activities to ensure it align with the project objective. Provide technical expertise to refine project activities in accordance with the project s goals. Ensure the integration of scientific and technical knowledge in the execution of project activities. Ensure smooth partnership and communication between the FAO project team and key partners, including the Ministry of Water and Environment, Environment Protection Authority, and the Ministry of Agriculture and Irrigation. Contribute to the annual reporting (PIR) of this project to the GEF, to be able to lead on this once the project gets executed by the EPA. The ongoing conflict in Yemen has caused significant disruptions to the supply chain and to the overall availability of services. In light of the reduced or even absent provision of public services, communities have adopted various coping strategies, including using alternate water and energy sources, relying on alternate service providers, and community-based service delivery initiatives to address the shortfall. Physical damage to infrastructure and the lack of functionality in one sector often spills over into other sectors with significant consequences on both the access to, and quality of services, which are often interrelated. Given the above continued needs, our client is therefore undertaking a project with the following scope: Role objectives The project is financed by BMZ through the KfW Development Bank to strengthen the operational capacity of the supported health storage warehouses at the national (central) and sub-national (governorate) levels through rehabilitation works of the warehouses infrastructure and provisions of equipment and capacity building training. This entails direct support to improve the operational sustainability of the selected storage warehouses in terms of reliable access to electricity, enhancing their structural integrity and safety, and providing needed equipment and training that will support the overall capacity of the cold supply chain and dry storage in close consultation and collaboration with UNICEF, WHO, and MoPHP. Space Planning within cold rooms for optimal air flow. Alarm Response Protocols and Logistical Emergency Plans (vaccine transfer, cold box usage, total system failure procedures). Standardized templates for daily temperature logs and vaccine handling records. Guide for the Shake Test and reading VVM indicators. Inventory and Quality Management Training: Vaccine classifi cation (Categories A to F) and arrangement to avoid "unsafe zones" (e.g., keeping freeze-sensitive vaccines away from cold air outlets). Analyzing Data Logger records to ensure storage quality. Correct receiving procedures (VVM check, temperature verifi cation, visual inspection). <br><b>About the mission</b><br>SI opened its mission in Yemen in 2017, establishing its coordination in Aden. Since then, SI expanded the geographical scope of its intervention, and established offices in Al Mokha, Taizz and Marib, and operational presence in Hodeidah, Lahj, Dahle, Abyan, Shabwah, and Hadramout Governorates. The mission has a forecasted budget of about 21M Euros for the year 2024. It operates from Aden, where the coordination is based, and 4 operational field bases located in Taiz, Marib and Al Mokha with Emergency team also stationed in Aden. The mission is composed of approx. 20 expatriates and about 150 national staffs. Objectives for the mission for 2024 is to build on its Emergency Response capacity to expand in hard-to-reach areas and develop qualitative interventions responding to emergency and protracted needs, while enhancing resilience. SI is currently undertaking 11 different projects in Yemen, financed respectively by the ECHO, BHA, UN-OCHA, CDCS, SDC, DUTCH MOFA, CIAA and DG INTPA. SI implements emergency and resilience WASH programs with activities of water trucking, rehabilitation of water network, construction of emergency latrines and showers, distribution of hygiene kits, hygiene promotion, and cleaning campaigns. Under its FSL portfolio, SI distributes unconditional, multi-purpose cash to IDPs and host communities, support the livelihood component by supporting in Income Generating activities. SI has been one of the first humanitarian actors to access the West Coast and remains as of today positioned in hard-to-reach areas close to the frontline of Marib, Hodeidah and Maqbanah. SI aims at maintaining this positioning and further expanding its presence.<br>About the job<br>General objective:<br>Ensure proper grants' management from inception phase to final reporting. Build on the partnerships' strategy of the Mission and support the reinforcement of SI's partnerships in Yemen both with national and INGOs<br>The main challenges:<br>The Yemen Mission has been working on an increased diversified resource mobilisation stratgey and is expected to potentailly have 5-6 new grants (CDCS Taiz, SDRPY Taiz, DG MENA Marib, DG MENA Taiz, FCDO, FRDL, SDC - Taiz) as well increasing new local partnerships (5-6), and two new consortia set ups, with SI being the lead.. Donors are not present in-Country and representation takes place remotely or through visits in Amman or other locations. Humanitarian funding is expected to decrease, while development donors have increasingly expressed interest to continue to support (e.g. EU, SDC). The push for cost-effectiveness pushes all INGOs towards consortia while the kicking in of the localization agenda imposes the development of local partnerships.<br>Priorities for the 2/3 first months:<br>1) Steer the Partnership strategy with a decisive step towards implementation of new integrated approaches an consortia over 2026/27<br>2) Facilitate the development of key propositional concept notes to forward the mission strategy in particular towards development donors<br>3) Work on the development of a more sustainable Grants department (so far relying on international staff only)<br>Security constraints:<br>The security situation in Aden remains unstable and volatile notwithstanding the distance from frontlines. Risks related to high proliferation of weapons, radicalization and potential jihadi attacks remain significant. Support prepositioning, capture planning and pursuit of opportunities for appropriate expansion and growth of programs. </li> <li>Coordinate planning of activities across various projects from different sectors<span> to ensure integration of program interventions and efficiency in implementation.</span></li> <li>In collaboration with CR, develop strategic partnerships with national and international organizations. Ensure strong representation to key stakeholders, including local partners, international organizations, host government, and donors.</li> <li>In coordination with resource mobilization staff oversee the business development cycle to ensure quality proposals per agency and donor standards. </li> <li>Oversee the identification, assessment and strengthening of appropriate partnerships and the appropriate application of partnership concepts, tools and approaches.</li> <li>Effectively manage talent and supervise. Manage team dynamics and staff well-being. Provide coaching, strategically tailored individual development plans, and complete performance assessment for direct reports. Contribute to developing staffing plans for projects and to the recruitment process of senior project staff. </li> <li>Ensure technical assistance and capacity strengthening for project teams and partners in project management standards and related MEAL, business development and operational activities. Identify training opportunities, develop training curriculums, and deliver trainings.</li> <li>Create and maintain proper conditions for learning.
