<section><p class="heading jdMain">Job Description</p><p class="heading">Roles & Responsibilities</p><div class="paragraph"><p>We are looking for a committed individual with a passion for and strong command of international humanitarian law (IHL) to join our team in a role central to our activities in the Middle East context.</p><p>The IHL Centre is an independent expert group that provides rapid and in-depth legal advice, training and advocacy on the laws of war to ensure the protection of people in conflict zones worldwide. We engage in research, advocacy, and training to foster understanding and respect for IHL and for complementary rules of international law. Our rapid and in-depth analyses enable the humanitarian sector and other stakeholders to respond to urgent needs and to promote the effective implementation of humanitarian standards. The Centre is part of the Swedish development organisation Diakonia. In addition to its Unit in Africa, the Centre has teams based in Beirut, Geneva, and Jerusalem, which cover conflicts in the Middle East, West Africa, East and Central Africa, and emerging crises worldwide. It will train armed actors, security forces and Community Protection Groups on approaches to enhance Protection of Civilians, Civilian Harm Mitigation, IHL/IHRL, and enhanced civil military dialogue. Expected results are increased knowledge and willingness to protect civilians, empowered local groups, improved coordination that opens humanitarian access, and lasting, significant operational policy changes by duty bearers.</p><p>The Legal Adviser will support the implementation of the project s legal and policy work, with a particular focus on international humanitarian law (IHL), international human rights law (IHRL), and civilian protection. This ongoing digital transformation offers significant opportunities for economic growth, innovation, and improved service delivery, while simultaneously giving rise to complex legal, regulatory, and security challenges. In this context, the development, modernization, and effective implementation of e-transactions legislation have become a critical priority for governments worldwide to ensure legal certainty, trust, and security in digital environments. Across the Arab region, several countries have made notable progress in establishing legal frameworks governing e-transactions, trust services, data protection, cybersecurity, and related areas. Nevertheless, the continuous emergence of new digital applications such as cloud computing, mobile platforms, digital identity systems, and artificial intelligence (AI) has requested countries to continuously upgrade those laws to align with the best international practices and the evolving requirements of the digital age. At the global level, the UN continues to promote the responsible, inclusive, and trustworthy use of emerging technologies in support of sustainable development. In September 2024, during the Summit of the Future, world leaders adopted the Pact for the Future, together with its annexes the Global Digital Compact (GDC) and the Declaration on Future Generations. The GDC underscores the importance of digital trust, secure and interoperable digital systems, and effective digital governance. These objectives depend fundamentally on robust e-transactions legislation that provides legal recognition to e-communications, signatures, trust services, and contracts mechanisms, thereby enabling safe participation in the digital economy. The UN ESCWA has a long-standing engagement in supporting its member States in the field of cyber legislation. In 2007, UN ESCWA published the study Models for Cyber Legislation in UN ESCWA Member Countries , which reviewed regional and international legal developments and introduced practical templates for assessing and reforming national cyber laws. The objective of those templates is to support Arab countries in drafting and harmonizing national cyber laws. Through its technical cooperation program, UN ESCWA remains committed to assisting member States in strengthening legal and institutional capacities related to the digital and emerging technologies. Recently, the Ministry of Telecom and Information Tech (MTIT) in Yemen requested UN ESCWA s advisory services to develop e-transactions and trust services law aligned with international standards and regional best practices. In response, UN ESCWA is engaging a qualified legal consultant to provide specialized expertise in the area of e-transactions and trust services, with a particular focus on the Yemeni legal and institutional context. The consultant shall use as primary reference frameworks the ESCWA Cyber legislation directives, UNCITRAL Model Law on Electronic Commerce (1996), the UNCITRAL Model Law on Electronic Signatures (2001), and the UNCITRAL Model Law on Electronic Transferable Records (2017), supplementing these with the EU eIDAS Regulation and relevant Arab country implementations. For the purposes of this consultancy, 'trust services' include: qualified electronic signatures and seals, electronic timestamps, electronic registered delivery services, website authentication certificates, and preservation services for electronic signatures, consistent with the eIDAS framework or its functional equivalent. This consultancy is part of a coordinated package of three inter-related legal instruments being developed simultaneously for Yemen: Access to Information Law, Personal Data Protection Law, and an e-Transactions and Trust Services Law. The consultant shall be aware of this broader legislative package and shall flag, in the drafting notes annex, any provisions in the assigned law that intersect with or depend upon the other instruments, to ensure coherence across the three laws. The provision of this advisory service, including the scope of work and expected outputs, is outlined in these Terms of Reference III. DUTIES AND RESPONSIBILITIES The consultant shall propose to the designated ESCWA focal point a detailed version of the report on e-transaction law. To produce the draft report, the consultant is requested to conduct, among others, the main following tasks: 1. Benchmarking and Best Practices Review current national laws related to digital and emerging technologies in Yemen; Review best regional and international practices in e-Transaction and trust services law (at least 2 selected regional and 2 international cases) and justification for case selection provided in the report; 2. Yemen's ongoing conflict and fragile institutional environment require that the draft law include a realistic implementation sequencing recommendation, identifying which provisions can be operationalized in the near term and which require institutional prerequisites, such as the establishment of a data protection authority. The consultant shall draw on established international frameworks including the EU General Data Protection Regulation (GDPR), the OECD Guidelines on the Protection of Privacy and Transborder Flows of Personal Data (2013 revision), the Council of Europe Convention 108+, and the Arab League's draft model data protection law, selecting and adapting provisions appropriate to Yemen's legal, institutional, and developmental context. This role offers the opportunity to: • Lead the development and implementation of NRC's national ICLA strategy in Yemen. • Shape humanitarian responses by co-leading the national Housing, Land and Property Working Group and the Legal Aid Technical Working Group alongside UNHCR and representation of NRC in Yemen. • Influence policy and advocacy on critical issues such as housing, land and property rights, civil documentation, and access to justice for internally displaced people and returnees. • Drive programme innovation by integrating ICLA across Shelter, Education, Site Management, and Protection programming. • Strengthen organisational capacity by coaching technical teams, developing guidance and training materials, and embedding best practices across the programme. • Build strategic donor relationships , contribute to resource mobilisation. • Ensure high-quality programme delivery by providing technical support, mentorship, coaching, and induction of ICLA staff and overseeing adherence to NRC policies and donor requirements. What you will bring • Bachelor s degree in law, human rights, international relations, political sciences or equivalent. • Minimum 5 years of experience within protection, legal protection and HLP issues. • Demonstrated understanding of humanitarian principles and minimum protection standards, humanitarian coordination mechanisms, applying protection standards to vulnerable communities. • Knowledge of relevant concepts of international refugee and human rights law and understanding of protection principles. <p><strong>Programming</strong></p>
<ul>
<li>Ensure the proper allocation of the activities needs in accordance with MdM codification and budget allocation</li>
</ul>
<p><strong>HR management</strong></p>
<ul>
<li>Manage all HR functions for national staff in Aden</li>
<li>Supervise recruitment processes and facilitate the onboarding</li>
<li>Ensure proper implementation of internal regulations, employment contracts, and HR procedures</li>
<li>Draft and manage employment contracts and related administrative records</li>
<li>Supervise payroll preparation, salary payments, income tax processing, and staff insurance follow-up</li>
<li>Conduct annual performance appraisals</li>
<li>Support conflict resolution by advising on HR regulations and legal frameworks</li>
<li>Follow up on visas, coordination, and access permits for international staff</li>
</ul>
<p><strong>Administrative management</strong></p>
<ul>
<li>Ensure proper implementation of MdM administrative procedures across the base</li>
<li>Draft and review service contracts, lease agreements, MoUs, and consultancy contracts</li>
<li>Monitor office and guesthouse lease agreements and ensure timely rent payments</li>
<li>Coordinate with the logistics team on facility-related matters (maintenance, utilities, compliance)</li>
<li>Monitor and manage administrative expenses (utilities, fuel consumption, staff mobile reimbursements)</li>
<li>Track all administrative contracts and ensure timely renewal or termination</li>
<li> Contribute to administrative audit preparation and compliance with local regulations</li>

<p><strong>Financial Management</strong></p>

<li>Oversee accounting and financial management of the Aden base</li>
<li>Ensure timely monthly financial closing using SAGA software</li>
<li>Manage bank accounts and petty cash</li>
<li>Ensure all financial transactions are properly documented and translated where required</li>
<li>Monitor budget utilization and prepare monthly budget follow-up reports</li>
<li>Contribute to annual budget preparation and revisions</li>
<li>Support donor financial reporting and audits (including MOH and external audits)</li>
<li>Ensure compliance with partnership financial agreements and reimbursement procedures.</li>
</ul>
<p><strong>Reporting</strong></p>

<li>Submit the following reports in accordance with internal deadlines: monthly financial closing files, monthly fund request, staff contract follow-up report, permit and coordination follow-up report and administrative and financial supporting documentation</li>

<ul>
<li>Hold a bachelor s degree in administration, finance, or related field</li>
<li>Have minimum five years of experience with NGOs in HR, administration, or finance roles</li>
<li>Are able to ensure strong supervision and demonstrated succesfull team management skills</li>
<li>Have strong communication and coordination skills</li>
<li>Have experience in working in complex security contexts, ideally in the Middle East</li>
<li>Speak English fluently (oral and written), Arabic is highly appreciated, French is a plus</li>
<li>Demonstrate high integrity, discretion, and ethical conduct when handling sensitive HR and financial information</li>
</ul>
